1. Registration and Account Creation

1.1 Eligibility: To participate in the AMY's Tenders/Auctions, you must be a legally recognized entity with the authority to engage in contractual relationships in OMAN jurisdiction.

1.2 Account Creation:You must complete the online registration form on the BIDMATE platform, providing accurate and up-to-date information. You are responsible for ensuring that all information provided is complete and accurate.

1.3 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2. Vendor Responsibilities

2.1 Participation: Upon successful registration, you may participate in Tenders and Auctions as offered on the BIDMATE platform.

2.2 Compliance: You must comply with all applicable laws and regulations in relation to the tender or auction you are participating in.

2.3 Submissions: All bids, proposals, and other submissions made through the platform must be complete, accurate, and submitted in accordance with the requirements specified in each Tender/Auction.

2.4 Confidentiality: You agree to keep all confidential information shared by AMY , including bid details, pricing, and negotiation information, strictly confidential.

3. Tender/Auction Participation

3.1 Acceptance of Terms: By submitting a bid in any Tender or Auction, you acknowledge and agree to the terms and conditions set forth in the individual tender/auction document.

3.2 Bid Validity: Your bid will remain valid for the period specified in the Tender/Auction document.

3.3 Evaluation: AMY reserves the right to evaluate all bids and proposals, and the decision of AMY shall be final and binding.

4. Fees and Payments

4.1 Fee Structure: The Company may charge certain fees for participation in specific Tenders/Auctions or for the use of additional services on the BIDMATE platform. Details of such fees will be provided in the respective Tender/Auction document.

4.2 Payment Terms: Payments for successful bids must be made in accordance with the payment terms specified in the Tender/Auction document.

5. Intellectual Property

5.1 Ownership: The BIDMATE platform and all related intellectual property, including logos, trademarks, and content, are the property of AMY .

5.2 License to Use: AMY grants you a limited, non-exclusive, non-transferable license to access and use the platform solely for the purpose of participating in Tenders and Auctions.

6. Platform Availability

6.1 Service Availability: AMY will make reasonable efforts to ensure the availability of the BIDMATE platform, but we do not guarantee continuous, uninterrupted, or error-free service.

6.2 Technical Issues: AMY is not responsible for any technical issues, including internet connectivity or platform access issues, that may affect your ability to participate in a Tender/Auction.

7. Indemnity

7.1 Indemnification: You agree to indemnify, defend, and hold harmless AMY from any claims, damages, losses, or liabilities arising out of or in connection with your use of the BIDMATE platform, participation in Tenders/Auctions, or any breach of this Agreement.

8. Limitation of Liability

8.1 Exclusion of Liability: AMY shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform or participation in any Tender/Auction.

8.2 Force Majeure: AMY shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control.

9. Termination

9.1 Termination by AMY : AMY reserves the right to suspend or terminate your account if you violate these Terms and Conditions or for any other reason at its sole discretion.

9.2 Termination by Vendor: You may terminate your account at any time by notifying AMY in writing. However, termination will not affect any obligations related to current or pending Tenders/Auctions.

10. Governing Law and Dispute Resolution

10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Sultanate of Oman.

10.2 Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the arbitration rules of the Sultanate of Oman.

11. Amendments

11.1 Changes to Terms: AMY reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on the BIDMATE platform, and continued use of the platform after such amendments will constitute acceptance of the modified terms.

12. Miscellaneous

12.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.

12.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.3 No Waiver: No waiver of any provision of this Agreement shall be deemed a waiver of any other provision or a waiver of a future breach of the same provision.
